Mourant Ozannes has acted as legal adviser to Photoways Inc on its £120m acquisition of Ltd, the online retailer of personalised greeting cards and gifts.

Mourant Ozannes acted in conjunction with lead advisers, Decherts LLP, who advised on the English law aspects of the deal.

Jersey advice was provided in relation to the structure of the acquisition, whilst advice was also provided by Mourant Ozannes in relation to Guernsey law matters regarding property, employment, data protection and the UK Import VAT Accounting Scheme, as part of Photoways' acquisition of the entire issued share capital of Ltd.

Partner Andrew Walters led on the deal from Guernsey, whilst partner Marcus Stone led the Jersey advice assisted by Helen Wyatt, Gemma Campbell, Rachel Guthrie, Chantal Barrett, Kate Dewsnap, Mark Torode and Kristin Holmes.

Photoways Inc is one of Europe's leading online photo services. is the largest online retailer of greetings cards in the UK, reportedly selling over 12 million cards a year, and was set up just nine years ago by founder Nick Jenkins, an online innovator and former Glencore trader (Mourant Ozannes recently advised Glencore on the Jersey legal aspects of its record-breaking London listing).
